Very extensive Corporations Law notes for both LAWS2014 and LAWS5014 courses at the University of Sydney. These 229 page long notes cover all there is to know about Corporations Law. I have used oral lectures, lecture slides, case summaries, textbook points and legislation to compile these notes. They were originally created for the Juris Doctor course, LAWS5014. But you can use these for LAWS2014 as well because they are practically the same. They are also colour coded making them easy to recognise.

Colour keys are:

Black = lecture slides

Blue = notes taken during lectures

Green = information from previous notes

Orange = textbook

Purple = information from online

Red = important information

Blue highlight = legislation

Green highlight = cases

Yellow highlight = important

And following topics which are common to both LAWS2014 and LAWS5014 are discussed:

  • Intro
  • Corporate formation & its implications
  • Regulating the internal functioning of companies
  • Mechanisms for SHs to protect their investment
  • Holding companies responsible to outsiders
  • Financing the company’s operations
  • External administration & corporate deregistration
